By checking the box and submitting the subscription form, the Subscriber acknowledges that they have read, understood, and agree to be bound by this Professional Subscription Agreement (“Agreement”). This Agreement governs the Subscriber’s access to and use of the Found & Form subscription service.
1. Purpose & Scope
The purpose of this Agreement is to establish the terms under which individual professionals—such as CPAs, CFPs, EAs, attorneys, and other licensed or credentialed practitioners—may access Found & Form’s subscription-based administrative support service (“Subscription”). The Subscription provides general administrative clarity, procedural guidance, and operational support. It does not provide legal advice, tax advice, or professional services.
2. Definitions
“Subscriber” means the individual professional who purchases and uses the Subscription.
“Service” or “Subscription” means the administrative support service provided by Found & Form.
“Found & Form” refers to the business entity providing the Subscription.
“Client” refers to any individual or entity served by the Subscriber in their professional capacity.
3. Access & Limitations
3.1 Individual Access Only
One Subscription equals one individual professional. The Subscription does not extend to firms, teams, staff, partners, assistants, interns, or administrative personnel. Firm-wide or group access is expressly prohibited.
3.2 Communication Channels
The Subscription includes brief administrative support via email or telephone. These channels are intended for short, focused questions and do not include extended consultation.
3.3 Sole Responder
All Subscription responses are provided directly by Found & Form. Independent contractors do not provide subscriber support, case review, or question responses.
3.4 Availability
Found & Form provides asynchronous advisory access Monday through Friday during standard business hours. Availability may vary based on workload and operational needs.
Advisory access is unavailable on all observed holidays and office closure dates. Messages received during closures will be responded to on the next business day. Our current Holiday Schedule is published on our website.
4. Subscription Terms
4.1 Duration
Subscriptions renew automatically on a monthly or annual basis, depending on the plan selected, unless canceled.
4.2 Delivery Method
All support is provided asynchronously through email or through brief telephone calls initiated by the Subscriber.
4.3 Reasonable Use
Subscribers must use the Service in a reasonable, professional manner consistent with the intended scope.
4.4 Annual Subscription Option
Found & Form may offer an annual Subscription at a discounted rate. Annual Subscriptions are billed in full at the time of purchase and are non-refundable except where required by law. The discounted rate applies only to the annual plan and does not apply to monthly billing. Annual Subscriptions renew automatically each year unless canceled prior to the renewal date. Subscribers may not convert an annual Subscription to a monthly plan until the end of the current annual term.
5. Professional Responsibilities
Subscribers remain solely responsible for their professional decisions, compliance with all applicable laws and regulations, maintaining their own licensure, and verifying all information before applying it to client matters. Found & Form does not assume responsibility for the Subscriber’s professional obligations.
6. Boundaries & Prohibited Uses
The Subscriber agrees not to:
• request legal, tax, or professional advice
• request full case reviews
• request document drafting
• provide sensitive client identifiers (such as Social Security numbers, medical records, or uploaded documents)
• request strategy, advocacy, or advice beyond general administrative guidance
• use the Service as a substitute for professional judgment
• treat the Service as staff support or outsourced labor
Found & Form may decline or redirect any inquiry that exceeds the scope of the Subscription.
7. Telephone Support & Call Limitations
Telephone support is intended for brief, focused administrative questions. Calls generally do not exceed 10 minutes. Found & Form does not provide client meeting attendance or extended consultation by phone. Found & Form may end or redirect any call that exceeds the intended scope or results in prolonged strategic discussion.
8. Marathon Session Prevention Clause
To maintain service quality and boundaries:
• Questions must be brief, specific, and answerable within a reasonable timeframe.
• The Subscription does not include extended involvement, multi-hour engagement, or ongoing case participation. Found & Form does not generally join client meetings, calls, or live sessions, and nor communicate directly with the Subscriber’s clients. However, the Subscriber may contact Found & Form with a brief administrative question while meeting with a client, provided that the communication remains between Found & Form and the Subscriber only and does not involve real-time participation, extended discussion, or interaction with the subscriber’s client.
• Found & Form does not remain “on standby” during client appointments.
• If a matter requires in-depth review or extended engagement, the Subscriber must refer the client directly to Found & Form for a separate service.
Found & Form may decline or redirect any inquiry that exceeds these boundaries.
9. Fees & Billing
Subscription fees are billed automatically. Failure to process payment may result in suspension or termination of access. Fees are non-refundable except where required by law.
10. Termination
Found & Form may terminate or suspend access for misuse, boundary violations, abusive behavior, nonpayment, or attempts to circumvent individual-use limitations. Subscribers may cancel at any time, with access continuing through the end of the billing period.
11. Confidentiality
Found & Form maintains the confidentiality of Subscriber communications to the extent permitted by law. Subscribers must not submit confidential client information through the Service.
12. Compliance
Subscribers are responsible for ensuring their use of the Service complies with their professional standards, regulatory requirements, ethical obligations, and confidentiality rules.
13. Non-Solicitation / Non-Interference
Subscribers may not solicit Found & Form to work for their firm, interfere with Found & Form’s business relationships, or attempt to hire or contract Found & Form personnel.
14. Data Use & Privacy
Found & Form may use anonymized, non-identifiable data to improve the Service. No client data should ever be submitted.
15. Marketing & Co-Branding
Subscribers may not use Found & Form’s name, branding, or materials in marketing, advertising, or client communications without prior written permission.
16. No Reliance
The Service provides general administrative clarity only. Subscribers agree not to rely on the Service as legal, tax, or professional advice.
17. No Guarantee of Outcomes
Found & Form does not guarantee results, outcomes, timelines, approvals, or compliance determinations. Subscribers remain fully responsible for their own work.
18. Electronic Acceptance & Clickwrap Acknowledgment
By checking the box and submitting the subscription form, the Subscriber affirms they have read and agree to this Agreement, understands that no handwritten or electronic signature is required, agrees that this clickwrap acceptance is legally binding, and acknowledges that continued use of the Service constitutes ongoing acceptance. This Agreement is enforceable under the ESIGN Act and the Uniform Electronic Transactions Act (UETA).
19. Governing Law, Jurisdiction & Venue
This Agreement is governed by the laws of the State of North Carolina. Any dispute, claim, or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state courts located in Pitt County, North Carolina. The Subscriber consents to the personal jurisdiction of such courts, waives any objection to venue or forum, and agrees not to initiate or move proceedings to any other jurisdiction.
20. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or representations.
21. Modifications
Found & Form may update this Agreement from time to time. Continued use of the Subscription constitutes acceptance of any updated terms.
